What is an Insolvency Examiner?

The Insolvency Examiner is defined in Law No. 20,720, as that natural person subject to the supervision of the Superintendencia de Insolvencia y Reemprendimiento, whose main mission is to promote the agreements between the debtor and its creditors, facilitate the proposal of Judicial Reorganization Agreements and protect the interests of creditors, requiring interim relief and conservation of the debtor’s assets, in accordance with the provisions of the law.

 

They exercise their position during the entire period of the Judicial Reorganization of a company, and to exercise it, it is necessary to be incorporated in the Insolvency Examiner Roster at the Superintendencia de Insolvencia y Reemprendimiento, complying with all of the legal requirements.

 

The Insolvency Examiners are appointed by the three main creditors of the requesting company, being paid by the latter, and exercise their position during the Reorganization Insolvency Procedure time period or for early termination thereof. Notwithstanding the foregoing, their responsibility remains until the approval of your Final Administration Account.

What is a Judicial Reorganization?

The Judicial Reorganization is a Bankruptcy Procedure, regulated in Law No. 20,720.

The Reorganization of Companies is a judicial procedure through which the debtor company proposes to its creditors an agreement, which establishes a new form of payment of its debts and allows it to continue operating.

It begins through a request filed to the court, and once the formal requirements established by law have been met, the judge issues a resolution, subpoenaing the creditor committee to deliberate the proposal that the debtor company must submit, that will grant bankruptcy financial protection for 30 days, extendable up to 90 days in total.

This bankruptcy financial protection provides the company with a “legal shield” that prevents eventual bankruptcy applications, executive proceedings, executions of any kind or restitution in lease lawsuits. In other words, during the negotiation period with its creditors, it protects it from any legal contingency that puts its assets at risk.

After the expiration of this period of time, a creditors committee convoked for this purpose will resolve according to the proposed resolution, and if accepted, will force everyone to submit to the terms established therein.

Reorganization agreements generally contemplate grace periods and a debt payment schedule that allows a company to maintain its continuity of business, facing the payment of its debts without losing its owners, property or control of it. As established in Law No. 20,720, the credits that are part of the agreement are understood to be remitted, renewed or renegotiated, as appropriate, for all legal purposes.

Likewise, these types of agreements, once judicially approved, impact all creditors, whether or not they attended the meeting or committee that agreed it.

If the agreement proposal is not approved, the immediate consequence is liquidation.

The Judicial Reorganization Agreements, once authorized or notarized before a public notary, are enforceable and have right of execution.

Thus, we can say that one of the most convenient alternatives for companies that are going through a situation of financial stress is the Judicial Reorganization, which allows, within a pre-established and regulated legal framework, achieving agreements between the debtor and his creditors.

Attorney at Law from the Pontificia Universidad Católica de Chile, Masters in Public Law from the Universidad de Chile and Diploma in Public Policies from the Pontificia Universidad Católica de Chile.

He has extensive professional experience in bankruptcy, having served as Head of the Legal Department of the Superintendencia de Insolvencia y Reemprendimiento and as a lawyer for the Superintendencia de Quiebra.

He also served as Vice-minister of Justice and as Coordinator in the Political Relations Division of the Ministerio Secretaría General de la Presidencia.

He is a member of the Chilean Bar Association and has made several publications in the media and in specialized magazines.

He has extensive experience in management positions in companies such as Cologram S.A., TJC Chile, Deportes Sparta, Inversiones Corso and Empresas Carozzi. Specializes in preparing and executing restructuring and growth plans for business.

Attorney at Law from the Universidad de Los Andes.

He has participated advising liquidators and bankruptcy auditors in more than 300 liquidation procedures and important judicial reorganization procedures for companies, such as Delta Ingeniería y Construcción, Alberto Chang Rajii and Proyectos y Montajes Comin S.A.

Graduated in Legal and Social Sciences from the Universidad de Talca, having graduated with distinction. License to practice law granted by The Supreme Court of Chile in 2020. Diploma in in Bankruptcy Law from Universidad de Chile.
